1. Acceptance of Terms

By creating an account, accessing, or using the E-Labus platform operated by ConveLabs Inc. ("ConveLabs," "we," "us," or "our"), you ("User," "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy and HIPAA Notice of Privacy Practices. If you do not agree to all of these Terms, you must not use the Platform.

If you are accepting these Terms on behalf of an organization (e.g., a medical practice), you represent that you have authority to bind that organization, and the term "you" refers to that organization.

2. Service Description

E-Labus is an AI-powered laboratory result interpretation tool that:

• Accepts uploaded laboratory result documents (PDF, images) from patients
• Uses artificial intelligence (via a third-party AI provider under a signed Business Associate Agreement) to extract biomarker values and generate plain-language educational summaries and trend analysis
• Allows patients to share their lab data and AI summaries with licensed healthcare providers they choose
• Provides historical trend tracking and personalized health insights

E-Labus is NOT a medical device as defined by the U.S. Food and Drug Administration (FDA). The Platform does not diagnose disease, prescribe treatment, or replace clinical judgment. It is a wellness and informational technology tool.

3. Medical Disclaimer

The content provided by E-Labus — including AI-generated interpretations, trend analysis, biomarker explanations, and any other health-related information — is provided for general informational and educational purposes only.

This information:

• Does NOT constitute medical advice
• Does NOT create a doctor-patient relationship between you and ConveLabs
• Is NOT a substitute for consultation with a licensed healthcare professional
• May NOT be accurate, complete, or applicable to your specific health situation
• Should NOT be used to self-diagnose or self-treat any medical condition

4. User Responsibilities

As a patient user, you agree to:

• Provide Accurate Information: Upload only your own legitimate laboratory results and provide truthful account and health information. Uploading falsified or third-party documents without authorization is prohibited.
• Obtain Your Own Lab Work: Use E-Labus only with lab results obtained through licensed laboratories and ordered by or accessible to you.
• Consult a Healthcare Provider: Discuss any AI-generated insights with a qualified healthcare provider before making any health decisions.
• Maintain Account Security: Keep your login credentials confidential. Notify us immediately at info@convelabs.com if you suspect unauthorized access to your account.
• Lawful Use Only: Use the Platform only for lawful purposes and in accordance with these Terms.
• No Emergency Use: Not use the Platform for medical emergencies. Call 911 or go to the nearest emergency room.
• No Automated Access: Not scrape, crawl, or access the Platform through automated means without our written permission.

5. Provider Responsibilities

If you access E-Labus as a licensed healthcare provider ("Provider"), you additionally agree to:

• Maintain Valid Licensure: Hold and maintain a valid, unrestricted healthcare license in the jurisdiction(s) where you practice.
• Obtain Patient Consent: Access patient lab data only after obtaining valid HIPAA-aligned patient authorization. You must not access patient data without explicit in-platform consent granted by the patient.
• Apply Clinical Judgment: Use AI-generated insights only as a supplemental tool. You remain solely responsible for all clinical decisions and patient care. AI summaries do not replace your professional assessment.
• HIPAA Compliance: Comply with all applicable HIPAA obligations in your use of the Platform, including maintaining appropriate safeguards for any PHI you access.
• No Unauthorized Sharing: Not download, copy, or re-disclose patient PHI obtained through the Platform beyond what is permitted by the patient's consent and applicable law.
• Accurate Credentials: Provide accurate NPI and practice information during registration. Misrepresentation of credentials is grounds for immediate account termination and may be reported to licensing authorities.

6. Subscriptions & Billing

Subscription Plans: E-Labus offers free and paid subscription tiers. Paid features are described on our Pricing page. We reserve the right to modify pricing with 30 days' notice.

Auto-Renewal: Paid subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date. By subscribing, you authorize ConveLabs to charge your payment method on file via Stripe for recurring subscription fees.

Cancellation: You may cancel your subscription at any time through your Account Settings or by contacting info@convelabs.com. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period, except as required by applicable law or at our sole discretion.

Refunds: Requests for refunds within 7 days of initial subscription purchase may be granted at our discretion. Contact info@convelabs.com.

Payment Processing: All payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's Terms of Service. We do not store raw payment card data.

7. Intellectual Property

Our Property: The E-Labus Platform — including its software, algorithms, design, user interface, trademarks, logos, and all content created by ConveLabs — is the exclusive property of ConveLabs Inc. and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our written consent.

Your Data: You retain ownership of the lab documents and health data you upload to the Platform. By uploading data, you grant ConveLabs a limited, non-exclusive license to process, store, and analyze your data solely to provide the services described in these Terms.

AI Outputs: AI-generated interpretations are provided to you for personal use. ConveLabs retains intellectual property rights in the underlying AI models and generation methodology.

8. Privacy & HIPAA

Your use of the Platform is subject to our Privacy Policy and HIPAA Notice of Privacy Practices, both incorporated into these Terms by reference. We handle your Protected Health Information in accordance with HIPAA (45 CFR Parts 160 and 164) and applicable state privacy laws.

9. Disclaimers of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS. CONVELABS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED CONTENT MAY CONTAIN ERRORS AND SHOULD BE VERIFIED BY A QUALIFIED HEALTHCARE PROFESSIONAL.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONVELABS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CONVELABS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO CONVELABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless ConveLabs Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Platform; (c) your violation of any third party's rights, including HIPAA rights; or (d) your misrepresentation of credentials or qualifications.

12. Termination

ConveLabs may suspend or terminate your account and access to the Platform at any time, with or without notice, for conduct that we determine violates these Terms, poses a risk to other users or the Platform, or for any other reason at our sole discretion.

You may terminate your account at any time by contacting info@convelabs.com. Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 7, 9, 10, 11, and 13–15) will survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You consent to the personal jurisdiction of the state and federal courts located in Miami-Dade County, Florida for any disputes not subject to arbitration.

14. Dispute Resolution

Informal Resolution: Before filing any formal legal proceeding, you agree to first contact ConveLabs at info@convelabs.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If informal resolution fails, all disputes arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may bring claims in small claims court for disputes within that court's jurisdiction.

Class Action Waiver: YOU AND CONVELABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

15. Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email to the address on your account and an in-app notice. Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes.
